What is a registered agent and why do I need one?
A Registered Agent is the state required contact for your business, responsible for receiving lawsuits, legal notices, government mail, and compliance documents. An RA ensures you never miss an important notice or critical deadline. You can list yourself or a business partner as your business’ RA, or you can opt to have an outside representative act as one for you.
Do I have to file an annual report if I’m not currently making money with my business or my business is not currently active?

Who can file the annual reports?
- You can file it yourself at your state’s comptroller’s website.
- Your CPA can file it.
- Venture Vault can do this in premier suite package, or as an add on to any package you have.
Do I have to file my annual minutes with the state?
Technically speaking, NO. You are not required to specifically file annual minutes with the state, however you ARE required to keep record of them. They are required of corporations, but not for LLCs. If you’d like a deeper explanation of annual minutes, click here.
Can I store other documents in the portal?
Yes, you are welcome to upload and store any documents within the portal. Here’s a quick guide for how to do that.
Can multiple people access the portal?
Yes, a representative can be authorized (by you) to access your portal. An easy walk-through of how to do that can be found here.
How will I receive my official notices?
As your Registered Agent, we will scan and upload any notices to your portal as they are received. You will receive a notification from the system and may access and download these notices at any time.
