8 Steps to File a Limited Liability Company (LLC) in the State of Texas

  1. Choose a Business Name

  1. Prepare and File a Certificate of Formation

Draft a Certificate of Formation, which is the official document required to establish an LLC in Texas. The certificate typically includes information such as the LLC’s name, registered agent’s name and address, purpose of the LLC, names and addresses of members or managers, and other required details.
  1. Determine whether your LLC will be member-managed or manager-managed

In a member-managed LLC, the members (owners) are responsible for the day-to-day operations. In a manager-managed LLC, one or more appointed managers handle the business’s operations while the members take a more passive role.
  1. File the Certificate of Formation and Pay the Filing Fee

Submit the completed Certificate of Formation and the filing fee to the Texas Secretary of State. You can file online, by mail, or in person. Online filing is the most convenient method.
  1. Create an Operating Agreement (Optional)

While not required by the state of Texas, it is recommended to create an Operating Agreement. This document outlines the ownership and operating procedures of the LLC, including details such as member responsibilities, profit and loss distribution, decision-making processes, and other important provisions.
  1. Obtain an Employer Identification Number (EIN)

Apply for an EIN from the Internal Revenue Service (IRS) if your LLC will have employees or if you plan to elect corporate taxation. You can apply for an EIN online through the IRS website.
  1. Obtain Necessary Permits and Licenses

Depending on your LLC’s activities, you may need to obtain specific permits or licenses at the federal, state, county, or city level. Check the requirements of your industry or consult with the appropriate licensing agencies to ensure compliance.
